A China business license is often the first document a foreign buyer should ask for when checking a Mainland Chinese supplier. It tells you the registered Chinese name, the Unified Social Credit Code, the registration status, the address, the legal representative , and the general business scope.

Term Legal representative (法定代表人)

The one individual registered to act for the company. Under Company Law Art. 11www.gov.cn中华人民共和国公司法__中国政府网第一条 为了规范公司的组织和行为,保护公司、股东、职工和债权人的合法权益,完善中国特色现代企业制度,弘扬企业家精神,维护社会经济秩序,促进社会主义市场经济的发展,根据宪法,制定本法。www.gov.cn, acts in the company’s name bind the company, and internal limits on that authority cannot be raised against a good-faith counterparty.

But it is not a credit report. It does not prove that the supplier owns a factory, has cash, can deliver on time, or will honor a refund promise. Its real value is narrower and more useful: it helps you identify who you are dealing with.

The short definition

A business license is the basic registration document of a Chinese market entity . Treat it as an identity document, not as a performance guarantee.

Statute Arts. 21–22 license issuance and effect

Under Arts. 21–22www.gov.cn中华人民共和国市场主体登记管理条例_工商_中国政府网《中华人民共和国市场主体登记管理条例》已经2021年4月14日国务院第131次常务会议通过,现予公布,自2022年3月1日起施行。www.gov.cn of the Market Entity Registration Regulation, the registry issues the license on establishment registration, and the issuance date is the entity’s establishment date. An electronic license equals the paper one.

Before payment, focus on two items: the registered Chinese name and the Unified Social Credit Code. The code is an 18-character identifier that can be checked against the National Enterprise Credit Information Publicity System国家市场监督管理总局国家企业信用信息公示系统查询中国企业登记、行政处罚、经营异常等信用信息的官方系统。www.gsxt.gov.cn and other registry sources.

Term Unified Social Credit Code

An 18-character permanent ID assigned at registration and used across registration, tax, and customs systems. Search it on the National Enterprise Credit Information Publicity System国家市场监督管理总局国家企业信用信息公示系统查询中国企业登记、行政处罚、经营异常等信用信息的官方系统。www.gsxt.gov.cn to pull the entity’s public file.

If a supplier only gives you an English name, platform store name, website name, or WhatsApp contact, but refuses to provide a Chinese license, that is not a small detail.

What buyers should check

First, check the Chinese name. The contract, chop, pro forma invoice, and bank account should point to the same Chinese legal entity where possible.

Third, check registration status. A company that is active, deregistered, revoked, or listed as abnormal presents very different risk.

Fourth, read the address and business scope. They do not prove manufacturing capacity, but they help test whether the entity roughly fits the business it claims to conduct.

What it does not prove

A license does not prove factory ownership. Trading companies, export companies, factories, and group sales entities can all have business licenses.

It also does not prove financial strength. Registered capital is not bank cash. A large registered capital number does not mean the company can refund you.

Registered capital is what shareholders promise to contribute (认缴), not proof of paid-in funds. And it does not prove that goods will match your specifications. Quality control, delivery time, inspection rights, liquidated damages, and dispute resolution need to be written into order documents or contracts.

Common mismatches

The highest-risk cases are often not those with no documents. They are cases where the documents do not match.

For example, the license shows a Shenzhen company, the contract uses an English trade name, the chop belongs to another Mainland company, and the bank account is a Hong Kong company or personal account. That structure is not always fraud, but it must be explained before payment.

If the supplier says all those companies belong to the same owner, you still need written documents stating who is the seller, who receives payment, who produces the goods, and who is responsible for refund, replacement, and quality liability.

The bottom line

A China business license is not a full due diligence report, but it is the first step in identifying a supplier. Confirm the Chinese name and Unified Social Credit Code, then match them against the contract, chop, PI, invoice, and bank account.

If those items do not line up, do not rush payment. Finding an entity problem before payment is usually cheaper than chasing the wrong party after payment.
