PO means purchase order. In China sourcing, it is usually the buyer’s order document, recording the core terms of a specific transaction.
Many small orders move forward on the supplier’s pro forma invoice alone. That is convenient, but it also means the supplier largely controls what is written. When a dispute happens, buyers often discover that the specifications were vague, inspection was not agreed, delay had no consequence, and the payee was never checked.
The short definition
A purchase order is the buyer’s document confirming a purchase. It often includes the supplier, buyer, product, model, quantity, unit price, total price, packaging, delivery date, payment terms, shipping term, inspection requirement, and attachments.
A PO does not automatically equal a complete contract. Its legal effect depends on whether the supplier accepted it, signed or stamped it, performed according to it , and whether there are other contract documents.

Even where there is a formal contract, a PO remains useful because each batch needs specific quantity, specification, timing, and payment details.
What a PO should include
First, identify the supplier correctly. Do not use only an English name. Add the registered Chinese name and Unified Social Credit Code where possible.

An 18-character code assigned to every registered Chinese entity, printed on its business license and searchable on the National Enterprise Credit Information Publicity System国家市场监督管理总局国家企业信用信息公示系统查询中国企业登记、行政处罚、经营异常等信用信息的官方系统。www.gsxt.gov.cn. It identifies the legal party for contracts and lawsuits.
Second, specify the product. Model, material, dimensions, color, packaging, certification, drawing version, and sample number should be clear.
Third, state quantity, price, and payment. This includes deposit, balance, payment conditions, and bank details.
Fourth, state delivery and shipping terms. FOB Shanghai, Incoterms 2020 is clearer than simply writing “FOB China.”

Fifth, state inspection and acceptance standards. Without a standard, it is hard to prove what counts as nonconforming goods.

Why a PI is not enough
A pro forma invoice is usually issued by the supplier. It is useful for price, payment, and shipment arrangements, but it may not contain the buyer’s risk-control terms.
For example, a PI may state product name and price but omit drawing version, defect standard, inspection rights, delay consequences, refund terms, and dispute resolution.
Common mistakes
Specifications are scattered across WhatsApp, WeChat, email, and photos with no single version.
The PO uses an English trade name instead of the Chinese legal entity.
The supplier’s PI conflicts with the buyer’s PO, and no one confirms which controls.
Inspection is not tied to the balance payment, so the buyer discovers defects after payment.Statute Civil Code Arts. 620–621 inspection and notice deadlines

The PO fails to reference the contract, NNN agreement, quality agreement, or attachments.
The bottom line
A PO turns the buyer’s purchase requirements into an order record that can be checked, accepted, and preserved as evidence. It may not replace a contract, but it can be a central part of the contract structure.

Is a PO a contract?
Not always. A PO may become part of the contract or evidence of the contract, depending on acceptance, signature or chop, and the parties performance.
Do I still need a PO if the Chinese supplier sent a PI?
Usually yes. A buyer-side PO can record the specifications, inspection, delivery, and payment conditions that matter to the buyer.
