Foreign buyers often ask whether a Chinese supplier is a trading company or a factory.
The question matters, but it should not become a simple rule that factories are good and trading companies are bad. Some trading companies are professional and valuable. Some factories are poorly managed. The real risk question is simpler: who signs, who gets paid, who produces, and who takes responsibility?
The short definition
A factory usually means the company that organizes production. It may have production lines, workers, machines, warehouse space, and quality control processes.
A trading company usually means a company that handles sales, sourcing, coordination, export, or customer communication. It may not manufacture the goods itself. It may place orders with one or more factories.
A common structure may include a Hong Kong company, a Mainland trading company, a Mainland factory, and an individual salesperson. Buyers should not rely only on how the salesperson describes the structure. They should read the documents.
Why the difference matters
If you buy standard goods, a trading company may make communication and multi-product sourcing easier. If you are developing a product, controlling tooling, protecting designs, or tightening quality obligations, the factory’s role matters more.
Legally, the contract party matters most. If the contract is only with a trading company, and the factory does not sign or stamp anything, the factory may not be a contract party . If the goods fail, your first claim is usually against the legal party that committed to sell to you.

A factory that never signed or stamped usually owes the buyer no direct contract duty.
Commercially, the control chain matters. Who controls the production schedule? Who can approve rework? Who holds the molds? Who is responsible for inspection results? If the trading company only passes orders along, the buyer may have less real control.
Three questions to ask
First, who signs the contract? The contract party should have an accurate Chinese name, Unified Social Credit Code , and matching company chop .

A chop is strong evidence, not a guarantee.
Second, who receives payment? If the bank account holder is not the contract party , ask for a clear written explanation.
Evidence Payment to a third-party account
Pay the contract party’s own corporate account where possible. If another account is proposed, get the contract party’s written authorization first; unexplained personal or offshore accounts are a common fraud and enforcement problem.
Third, who produces? The factory name, address, role, subcontracting limits, and inspection access should be written into the PO or contract.
Common misconceptions
A platform label such as “manufacturer” is not the same as a legal factory commitment. It is a clue, not a contract.
A factory video or live stream can help assess capacity, but it does not prove the factory is legally responsible.
A trading company is not automatically unacceptable. The problem is a vague responsibility structure, not the label itself.
Hong Kong and Mainland entities should not be blurred together. It is common for a Hong Kong company to sign or collect money while a Mainland factory produces. That structure needs to be documented.
The bottom line
The difference between a trading company and a factory is not a label issue. It is a responsibility issue.
You can work with a trader or a factory. What you cannot afford is uncertainty about who is legally responsible to you.
