OEM, ODM, and private label are three of the most common words in China sourcing and manufacturing. They sound like industry vocabulary, but they can affect product control, design ownership, tooling, brand risk, and supplier dependency.

The problem is that these words are not legal protection by themselves. A supplier saying “we do OEM” or “this is ODM” does not automatically answer who owns the design, who owns the mold, whether the supplier can sell to others, or whether it can modify and resell the product.

The short definition

OEM usually means the supplier manufactures according to the buyer’s design, specifications, or requirements. The buyer may provide drawings, samples, materials, functions, or branded packaging.

Term OEM: trade usage, not law

OEM has no statutory definition in PRC law. It is commercial shorthand; the legal result depends on the contract terms the parties actually sign.

ODM usually means the supplier already has a product design or mature solution. The buyer selects, adapts, brands, or lightly customizes it.

Private label usually means the supplier makes a product and the buyer sells it under the buyer’s brand, packaging, or label. It may be close to ODM, or it may simply be a catalog product with changed packaging.

The practical differences

OEM usually means the buyer controls more product requirements. The buyer should care about design files, specifications, tooling, improvements, and confidentiality.

ODM usually starts from the supplier’s existing solution. It is often faster and cheaper, but the supplier usually controls more of the underlying design. Without clear terms, it may be difficult to stop the supplier from selling similar products to others.

Private label centers on brand presentation. The product may come from the supplier’s existing catalog, while the buyer mainly controls trademark, packaging, color, manuals, and sales channel.

Why the labels are not enough

These words are commercial categories, not complete contract clauses .

Industry labels supply none of these terms.

Even in OEM, the buyer does not automatically own all designs, molds , improvements, and production materials. Even in ODM, the supplier cannot freely use the buyer brand, packaging, and customer information. Even in private label, trademark and compliance risks still matter.

Evidence Proving mold ownership

Paying for tooling does not by itself prove ownership. Keep a written tooling clause, itemized invoices, and asset markings so the molds can be identified and recovered later.

Connection with NNN agreements

If you will share design files, samples, molds, customer lists, pricing strategy, or platform information, consider signing an NNN agreement first.

Term NNN: three noes

An NNN agreement combines non-disclosure, non-use, and non-circumvention in one contract. For China enforceability it is usually governed by PRC law and drafted bilingually.

Common misconceptions

OEM does not automatically mean the buyer owns everything. Check design files, molds, improvements, and IP terms.

ODM does not mean the buyer has no protection. Exclusivity, packaging, brand controls, channel restrictions, and modification limits can still matter.

Private label is not just changing a logo. Trademark registration , packaging compliance, product liability, and platform rules may affect sales.

Register the brand before a supplier or squatter does.

Sending files and samples first, and discussing confidentiality later , is usually too late.

A signed NNN is still stronger.

The bottom line

OEM, ODM, and private label are useful starting terms for understanding China manufacturing cooperation. They are not risk-control plans.

First identify the model. Then write ownership, permitted use, confidentiality, tooling, brand rights, channel limits, and dispute resolution clearly.
